Cito Capital Corporation was formed to provide assistance to management teams and owners of small and middle-market businesses in developing creative solutions to corporate issues involving strategy, operations, corporate governance, and divestitures, mergers and acquisitions.   Our objective is to use the "lessons learned" over a long period of business leadership at the highest levels in helping our clients move their own businesses smoothly and efficiently towards their strategic and operational goals and the value maximization of their business.

To this end, our principals have years of experience in leading their own companies' projects aimed at:

As an illustration of the effectiveness of these "lessons learned", one of our principals succeeded in achieving a corporate governance score placing his company in the 98.3 percentile of all publicly traded companies in 2003.

Our principals have also spent a significant amount of their careers in identifying and realizing the value of businesses, at entry and exit.  They have completed seventeen acquisitions and sixteen divestiture transactions over the past fifteen years, for their own accounts as well as for their corporate employers.  Acquisition transactions have included manufacturers of equipment and components for the automotive, heavy truck, aerospace, defense and industrial markets across the United States, Canada, England, Germany, and Brazil, ranging in price from $5 million to more than $170 million.  Divestiture projects involving technology, manufacturing, and servicing businesses ranged in size from $3 million to $100 million.

In the process of these acquisitions and divestitures, our principals raised more than $850 million in senior and subordinated debt offerings from international syndicates of banks and private equity funds.  They also led a $28 million secondary stock offering that was oversubscribed in a very difficult environment.

We believe that these experiences, the good, the bad and the ugly, represent a rich and broad range of business knowledge and expertise that can be readily applied to assist our clients in finding creative solutions to their business issues.
